A summary of how we contract, written for evaluation. The executed MSA, SOW and data processing addendum are what actually govern an engagement.

01Scope
These terms describe how Newbieget Labs engages. They are a summary for evaluation purposes. Any actual engagement is governed by an executed master services agreement, a statement of work and, where personal data is involved, a data processing addendum.
02Acceptance criteria
Every statement of work states an acceptance threshold, a spot-check sample size, a review window and a defect classification. An item is accepted if it satisfies every mandatory rubric dimension at or above the agreed threshold, passes the client spot-check at the agreed rate, and contains no Category-A defect.
Batches falling below the threshold are reworked once at our cost within the window recorded in the statement of work.
03Intellectual property
All work product created for a client is assigned to that client on payment. Every contributor signs an IP-assignment and confidentiality agreement during onboarding, so the chain of assignment reaches the individual who performed the work.
Rubrics, task specifications and other material supplied by the client remain the client’s property. Our internal quality systems, templates and methodology remain ours.
04Confidentiality
Engagements operate under a two-layer NDA chain: a company-level mutual NDA plus individual NDAs binding each contributor to that engagement. Client identity and work samples are not used in marketing without prior written consent.
05Fees and payment
Fees are quoted per engagement and recorded in the statement of work. Standard terms are net 30 from invoice. Rework arising from a missed acceptance bar is not chargeable.
06Liability
Liability is capped and apportioned in the executed agreement. Professional indemnity and cyber liability cover is carried from the first enterprise contract.
07Termination
Either party may terminate for material breach on written notice and an opportunity to cure. On termination we deliver completed work, return or destroy client data as instructed, and issue a deletion certificate.
